Introduction These Terms and Conditions (“Terms”) govern the access to and use of Prometheo (“Prometheo”, “we”, “us”, or “our”), a software-as-a-service platform providing automated lead generation and outreach tools. By creating an account, purchasing a subscription, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

  2. Service Description Prometheo is a credit-based lead generation and outreach software that enables users to:

Identify potential business leads

Apply automated lead qualification logic

Generate personalized outreach emails

Send emails via integrated systems

Credit Definition 1 credit equals 1 processed lead, which includes:

Lead identification attempt

Lead qualification attempt

Personalized email generation

Email sending attempt

Credits are consumed once processing starts, regardless of outcome.

  1. Credit System & Limitations You expressly acknowledge and agree that:

Credits are consumed even if:

A lead is not qualified

An email address cannot be found

An email is not delivered or bounces

Credits reset monthly

Unused credits do not roll over

Credits have no cash value and cannot be transferred or refunded

Prometheo does not guarantee that all processed leads will meet your qualification criteria or contain valid contact information.

  1. Subscriptions & Billing (Stripe) Subscription Plans Prometheo offers three subscription tiers, each providing a fixed monthly credit allocation.

Subscriptions are billed on a monthly recurring basis

Credits reset at the start of each billing cycle

Subscription access continues until cancelled

Stripe Payments Payments are processed exclusively through Stripe, a third-party payment processor. By subscribing, you authorize Prometheo and Stripe to:

Charge your selected payment method on a recurring basis

Automatically renew your subscription unless cancelled

Prometheo does not store or process payment card data. All payment data is handled directly by Stripe in accordance with their security and compliance standards. Failed or Overdue Payments If a payment fails or is reversed:

Access to the Service may be suspended or limited

Credits may be withheld until payment is resolved

Prometheo reserves the right to terminate accounts with repeated payment failures

  1. Cancellation & Refund Policy

You may cancel your subscription at any time via your account or Stripe

Cancellation takes effect at the end of the current billing period

No refunds are provided for:

Used or unused credits

Unqualified leads

Missing or invalid email addresses

Failed or bounced emails

Refunds are granted only where required by applicable EU consumer law.

  1. No Guarantee of Results Prometheo provides the Service on a best-effort basis. We make no guarantees regarding:

Lead accuracy or completeness

Qualification success

Email discovery

Email deliverability

Replies, conversions, or revenue outcomes

All leads and data are provided “as is” and “as available”.

  1. GDPR & Data Protection (EU) Prometheo processes personal data in accordance with:

Regulation (EU) 2016/679 (GDPR)

Applicable Romanian data protection laws

Roles

Prometheo acts as a Data Processor

The user acts as the Data Controller

You are solely responsible for:

Having a lawful basis to process and contact leads

Ensuring compliance with GDPR, ePrivacy Directive, and national laws

Handling data subject requests related to outreach activities

  1. Email Outreach & Compliance You acknowledge that:

Prometheo is not responsible for:

Spam filtering

Email bounces

Domain or IP reputation damage

Account restrictions imposed by email providers

Outreach activities involve inherent risks

You agree not to use the Service for:

Spam or unsolicited bulk communications

Deceptive, abusive, or unlawful messaging

  1. Account Suspension & Termination Prometheo reserves the right to:

Suspend or terminate accounts that violate these Terms

Disable access without refund in cases of:

Abuse

Illegal activity

Repeated compliance violations

Fraud or misuse

  1. Intellectual Property All intellectual property rights related to Prometheo, including but not limited to:

Software

Algorithms

Branding

Documentation

remain the exclusive property of Prometheo. You receive a limited, non-exclusive, non-transferable license to use the Service during an active subscription.

  1. Limitation of Liability To the maximum extent permitted by EU and Romanian law:

Prometheo shall not be liable for:

Loss of profits

Loss of business opportunities

Indirect or consequential damages

Total liability shall not exceed the amount paid by the user in the last one (1) billing month

  1. Disclaimer of Warranties The Service is provided “as is” and “as available”, without warranties of any kind. Prometheo does not warrant that:

The Service will be uninterrupted or error-free

Generated leads will meet user expectations

  1. Changes to the Terms Prometheo may update these Terms at any time. Changes take effect upon publication on the website. Continued use of the Service constitutes acceptance of the revised Terms.

  2. Governing Law & Jurisdiction These Terms shall be governed by and interpreted in accordance with the laws of Romania and applicable European Union law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Romania.
